End User License Agreement
Please read this End User License Agreement ("Agreement") before installing or using the TASS GUI Edition. By installing, activating, or using the software, you agree to be bound by this Agreement. If you do not agree, do not install or use it.
Scope note. This Agreement covers the commercial GUI Edition only. The TASS Community Edition (engine, CLI, MCP server, minimal web GUI, project container) is open-source software governed by the Apache License 2.0, not by this Agreement.
1. Parties
This Agreement is between you ("User") and SIM DAD LLC, a limited liability company organized under the laws of Illinois ("SIM DAD," "we," or "us"). SIM DAD LLC is the developer and owner of the TASS GUI Edition.
2. License grant: one-time purchase, perpetual license
Subject to payment of the one-time license fee and compliance with this Agreement, SIM DAD grants you a personal, non-exclusive, non-transferable, perpetual license to install and use the TASS GUI Edition, version series v1.x, on the seats corresponding to your tier, for your own personal or internal business purposes:
- Student and Academic: one user, up to 2 devices used by that user
- Professional: one user, up to 2 devices used by that user
- Lab: up to 5 users within the same lab or organization
- Site: seats and terms per the site-license agreement
The license is a one-time purchase, not a subscription. It never expires, and no recurring payment is required to keep using the version series you purchased.
3. Updates and major versions
Your license includes all updates within the purchased major-version series (v1.x) at no additional charge. Later major versions (for example v2.0) may be offered as optional paid upgrades. Declining an upgrade never disables, degrades, or time-limits the version you own. SIM DAD is under no obligation to maintain compatibility with any particular operating system version indefinitely.
4. Activation
The GUI Edition uses a license key issued at purchase. Activation requires an internet connection and transmits the key and a device identifier to enforce the seat limit; after activation, TASS operates entirely on your local machine. Sharing your key outside your licensed seats or circumventing activation is a material breach of this Agreement.
5. Trial
The GUI Edition may be used without a key for a 30-day trial with all features enabled and analyses capped at 10,000 rows. The trial is governed by this Agreement.
6. Restrictions
You may not:
- Copy, redistribute, sublicense, sell, rent, lease, or transfer the GUI Edition or your license key outside your licensed seats
- Reverse engineer, decompile, or disassemble the GUI Edition, except to the extent expressly permitted by applicable law
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use the software in any manner that violates applicable law
Nothing in this section restricts your rights under the Apache-2.0 license to the Community Edition, or under the open licenses of the bundled dictionaries.
7. Ownership
The GUI Edition is proprietary to SIM DAD LLC, and title remains with SIM DAD LLC. All rights not granted here are reserved. This Agreement transfers a license, not ownership of the software.
8. Your data and privacy
TASS runs entirely on your local machine. SIM DAD does not collect, transmit, or store your text data, analysis results, or usage data. The only network requests are the ones you invoke: registry installs, the update check, and license activation. See the Privacy Policy for detail.
9. Open-source components and dictionaries
The GUI Edition is built in part on open-source software, including the Electron framework (MIT), Chromium (BSD-style), and Node.js (MIT); their licenses are unaffected by this Agreement and are reproduced in the application's notices. Bundled dictionaries are third-party or TASS-native open resources under their own licenses (MIT, Apache-2.0, CC-BY, ODC-PDDL, and similar), each recorded with its citation in the product's NOTICE files and in every run's provenance manifest.
10. Disclaimer of warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIM DAD LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SIM DAD LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIM DAD LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE. SIM DAD LLC'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
12. Refunds
Every purchase carries an unconditional 30-day money-back guarantee: a full refund within 30 days of purchase, for any reason or none. See the Refund Policy. Upon refund, your license key is deactivated.
13. Term and termination
This Agreement is effective until terminated. It terminates if you materially breach it and do not cure the breach within 30 days of notice. Upon termination for breach, you must destroy all copies of the GUI Edition in your possession. Discontinuation of the product does not terminate perpetual licenses already granted. Sections 7, 10, 11, and 14 survive termination.
14. Governing law
This Agreement is governed by the laws of the State of Illinois, without regard to its conflict-of-law provisions. Disputes shall be resolved in the state or federal courts located in Illinois.
15. Entire agreement
This Agreement, together with the Terms of Service, Refund Policy, and Privacy Policy it references, is the entire agreement between you and SIM DAD LLC regarding the GUI Edition. If any provision is held unenforceable, it shall be modified to the minimum extent necessary and the remainder shall stand.
